Background

MobiKwik has successfully transferred its digital lending business into its wholly-owned subsidiary called MobiKwik Distribution Services Private Limited (MDSPL). This is part of the company’s larger restructuring plans for its lending businesses. The transfer covers the company’s entire Lending Service Provider (LSP) business along with the employees associated with it.

The company stated that the move follows shareholder approval received through a postal ballot in the first week of July. Following this approval, MobiKwik infused ₹60.85 crore into MDSPL as equity capital.

The restructuring comes after the Reserve Bank of India approved MobiKwik Group’s application for a Non-Banking Financial Company (NBFC) licence in April, on the condition that the company’s LSP business be shifted to a wholly owned subsidiary before the Certificate of Registration could be issued.

MobiKwik has appointed Manish Pathania, who previously headed digital lending at Bajaj Markets, as Chief Business Officer of MDSPL. He will lead the subsidiary’s lending operations, including customer origination, underwriting, risk management, servicing and collections.

The company’s lending business has seen a sharp rise in profitability, with Financial Services gross profit growing 459% year-on-year in the first quarter of FY27. During the quarter, 32% of disbursals came through the distribution model, while the remaining 68% were routed through the First Loss Default Guarantee (FLDG) model.

MobiKwik said it expects quarterly loan disbursals to cross ₹1,000 crore in the coming quarters, backed by new lender partnerships and technology-led initiatives. The company added that it currently serves 9.5 crore engaged customers and plans to widen credit offerings across its consumer and merchant base.
